These Terms of Service (“Terms”) govern your access to and use of Ayyo, including the website located at ayyo.live, the Ayyo web application, AI agents, voice features, connected integrations, generated content, files, tools, subscriptions, and related services (collectively, the “Services”).

These Terms are between you and Ayyo, LLC (“Ayyo,” “we,” “us,” or “our”).

By creating an account, accessing, or using the Services, you agree to these Terms. If you do not agree, do not use Ayyo.

2. What Ayyo does

Ayyo is an AI agent platform. Ayyo agents may help users with productivity, communication, scheduling, documents, spreadsheets, presentations, money organization, financial decision support, health and wellness support, healthcare navigation, relationships, planning, voice conversations, file generation, web/search tasks, connected account tasks, and other AI-assisted workflows.

Ayyo may include agents such as:

  • ARLO — productivity, execution, documents, scheduling, work, school, creator/business support, meetings, and tasks.
  • LUX — money organization, spending analysis, subscriptions, purchase decisions, and financial decision support.
  • KNOX — fitness, wellness, health habits, preventive care reminders, healthcare navigation, appointment preparation, and whole-person health support.
  • SOPHIE — relationships, family, friends, communication, shared plans, travel, and people-related planning.

Ayyo’s features may change over time. Some features, integrations, agents, tools, and capabilities may be added, changed, limited, paused, or removed.

3. Eligibility

You must be at least 13 years old to use Ayyo.

Ayyo is not intended for children under 13. By using Ayyo, you confirm that you are at least 13 years old.

If you are under the age of majority where you live, you may use Ayyo only with permission from a parent or legal guardian.

Ayyo is intended primarily for users in the United States, but the website may be accessible from other locations.

4. Accounts

To use the Ayyo web app, you must create an account and log in.

Ayyo may support authentication methods including email/password, Google sign-in, and Apple sign-in.

You are responsible for keeping your login credentials secure. You are responsible for activity that occurs under your account.

You agree to provide accurate information and keep your account information up to date.

You may not share your account with others unless Ayyo offers a feature or plan that expressly allows it.

5. Subscriptions, trials, payments, and cancellation

Ayyo may offer free trials, promotional access, paid plans, usage-based limits, monthly subscriptions, annual subscriptions, or other paid features.

Trial length, trial features, pricing, plan limits, and subscription terms will be disclosed at signup or checkout and may change over time.

A credit card may not be required for certain free trials.

After a trial ends, active agent functionality may pause until you subscribe. You may still be able to log in to manage your account, delete data, and disconnect integrations.

Payments are processed by Stripe or another payment provider. Ayyo does not directly store full credit card numbers.

Payments are non-refundable except where required by law or expressly stated by Ayyo.

You may cancel your subscription according to the cancellation process provided in your account settings, Stripe customer portal, or other checkout flow. Cancellation will stop future billing but may not result in a refund for amounts already paid unless required by law.

Ayyo may change pricing, plan features, limits, or billing terms from time to time. If required by law, we will provide notice of material changes.

6. Usage limits and fair use

Ayyo may apply usage limits, rate limits, fair-use limits, abuse controls, or plan-based limits to protect service quality, manage costs, prevent abuse, and keep the platform available. These limits may apply to:

  • text messages
  • voice minutes
  • file uploads
  • file generation
  • meeting/class listening
  • browser or web actions
  • connected integrations
  • AI model usage
  • background agent tasks
  • proactive notifications
  • generated outputs

Ayyo may temporarily limit, throttle, pause, or restrict usage that appears abusive, unusually high, fraudulent, harmful, or inconsistent with the intended use of the Services.

7. Connected accounts and integrations

Ayyo may allow you to connect third-party services, such as email, calendar, file storage, finance, health, productivity, communication, marketing, or other tools.

Examples may include Google, Apple, Microsoft, Plaid, Stripe, 1upHealth, Oura, Strava, Google Health, Slack, SendGrid, ElevenLabs, OpenAI, Anthropic, Google Gemini, Meta, OpenRouter, and other services as Ayyo evolves.

When you connect an integration, you authorize Ayyo to access, process, use, and display information from that integration as needed to provide the Services.

You are responsible for ensuring you have the right to connect any account, file, data, or service you provide to Ayyo.

Third-party integrations are governed by their own terms and privacy policies. Ayyo is not responsible for third-party services.

You may disconnect integrations through account settings or by contacting support, depending on the integration.

8. Agent actions and user approval

Ayyo agents may prepare work, recommendations, drafts, summaries, plans, files, messages, checklists, reports, and suggested actions.

Ayyo agents must require user approval before taking sensitive external actions, including but not limited to:

  • sending communications
  • contacting people, providers, merchants, or third parties
  • submitting forms
  • posting or publishing content
  • making, changing, or canceling reservations, bookings, appointments, subscriptions, or purchases
  • changing calendar events with other attendees
  • sharing files or personal information
  • sharing health or financial information
  • deleting files or records
  • taking actions that could affect money, healthcare, legal rights, accounts, reputation, or relationships

You are responsible for reviewing and approving any action before Ayyo performs it.

Ayyo is not responsible for consequences caused by actions you approve, instructions you provide, or third-party services you connect.

Hands-on browser sessions

Some plans include “hands-on” browser sessions, in which an Ayyo agent operates a web browser at your direction to perform a task on a third-party website (for example, filling out a form, requesting a reservation, or submitting a cancellation or refund request). For these sessions:

  • You can watch the session live and take control of it at any time. Nothing is submitted, sent, or finalized on any website without your explicit approval.
  • Ayyo agents never ask for, view, store, or enter your passwords. If a website requires a login, you enter your credentials yourself while you have control. To keep you signed in across sessions, the browser’s session state (such as cookies) is stored in encrypted form; you can request that it be cleared at any time by contacting support.
  • Ayyo agents never enter payment card numbers or bank account details on any website. Any step that requires payment details is handed to you to complete.
  • Ayyo does not initiate, execute, or modify payments, transfers, or transactions through any connected financial integration (including Plaid), which Ayyo uses on a read-only basis to display and analyze your financial information.
  • Hands-on sessions act on third-party websites at your direction. You are responsible for your use of those websites, including compliance with their terms of service, and for reviewing what a session submits before you approve it. The outcome of any request (for example, whether a merchant honors a cancellation or refund) is determined by the third party, not by Ayyo.

9. AI output may be inaccurate

Ayyo uses artificial intelligence. AI output may be incorrect, incomplete, outdated, misleading, biased, or inappropriate.

You are responsible for reviewing AI output before relying on it, sending it, submitting it, publishing it, sharing it, or using it to make decisions.

10. No professional advice

Ayyo is not a substitute for professional advice.

Unless expressly stated in writing by Ayyo, the Services do not provide:

  • medical advice
  • diagnosis
  • treatment
  • therapy
  • crisis support
  • legal advice
  • tax advice
  • investment advice
  • financial planning advice
  • professional accounting advice
  • HR advice
  • compliance advice
  • emergency services

You should consult qualified professionals before making important decisions related to healthcare, finances, taxes, law, employment, safety, or other high-impact areas.

11. Health and healthcare features

KNOX may help users with fitness, wellness, habits, preventive care reminders, healthcare navigation, lab result organization, appointment preparation, and health-related follow-up.

KNOX is not a doctor, clinician, healthcare provider, or emergency service.

KNOX does not diagnose conditions, prescribe treatment, interpret serious symptoms as harmless, or replace professional medical advice.

If you have a medical emergency, call emergency services immediately.

If KNOX helps you understand health information, prepare questions, or identify preventive care topics, you remain responsible for consulting a qualified healthcare professional.

Ayyo may use health-related integrations such as Apple Health, 1upHealth, Oura, Strava, Google Health, or similar services. Your use of those integrations may also be governed by their own terms and privacy policies.

12. Financial features

LUX may help users organize spending, understand transactions, identify subscriptions, evaluate purchases, prepare cancellation steps, and think through money decisions.

LUX does not provide investment advice, tax advice, legal advice, professional financial planning, credit repair services, or accounting advice.

LUX may provide general investment education and research — such as explanations of financial instruments, publicly available market data, historical performance, fees, and attributed third-party commentary. This is educational content only, not investment advice, and is not a recommendation to buy, sell, or hold any security or digital asset. Past performance does not guarantee future results. For advice specific to your situation, consult a licensed financial adviser.

Ayyo does not move money.

Ayyo does not directly store bank login credentials.

Any merchant contact, cancellation, purchase-related workflow, or similar external action requires user approval.

You are responsible for financial decisions you make.

13. Relationship and people features

SOPHIE may help users think through relationships, communication, family, friends, planning, travel, and shared-life situations.

SOPHIE is not therapy, counseling, legal advice, crisis support, or emergency help.

SOPHIE does not determine who is right or wrong in a dispute. SOPHIE may help you organize your thoughts, prepare messages, understand possible perspectives, and consider next steps.

You are responsible for your communications, relationships, and decisions.

If you are in danger or experiencing a crisis, contact emergency services, a qualified professional, or a trusted person immediately.

14. User content

“User Content” means information, data, text, files, images, audio, documents, prompts, messages, connected-account content, and other materials you submit, upload, connect, generate, or provide to Ayyo.

You retain ownership of your User Content.

You grant Ayyo a license to host, process, analyze, transmit, display, reproduce, modify, create derivative works from, and otherwise use your User Content as needed to provide, maintain, secure, and improve the Services.

This general license does not expand Ayyo's permitted use of data received through Google APIs. Google API user data is used only to provide or improve the specific, prominent user-facing integration features the user selected, in accordance with the Google API Services User Data Policy and its Limited Use requirements. Those features include Knox packs: if you join a pack, other members may see the pack's race metrics derived from connected health sources, as described in the Privacy Policy. Google API user data is not used for advertising, unrelated analytics or marketing, creditworthiness, or training or improving generalized AI or machine-learning models.

You represent that you have the rights needed to provide User Content to Ayyo and authorize Ayyo to process it.

You may not upload or provide content that violates the law, violates another person’s rights, or violates these Terms.

15. Generated output

Subject to these Terms and applicable law, you may use outputs generated by Ayyo for personal or business purposes.

You are responsible for reviewing generated outputs before using them.

Ayyo does not guarantee that generated output is unique, non-infringing, accurate, legally compliant, or suitable for your intended use.

Similar or identical outputs may be generated for other users.

16. Acceptable use

You may not use Ayyo to:

  • violate any law or regulation
  • infringe or misappropriate intellectual property or privacy rights
  • generate, distribute, or facilitate harmful, abusive, deceptive, or illegal content
  • impersonate others
  • harass, threaten, or exploit others
  • upload malware or attempt unauthorized access
  • bypass security controls
  • scrape, reverse engineer, or overload the Services
  • use Ayyo to make automated decisions with legal or similarly significant effects without appropriate human review
  • use Ayyo to provide regulated professional services without proper authorization
  • use Ayyo to obtain, expose, or misuse sensitive information
  • use Ayyo to target ads based on private health, financial, relationship, chat, file, or connected-account data
  • interfere with the operation or security of the Services

Ayyo may suspend or terminate accounts that violate these Terms or create risk for Ayyo, users, third parties, or the public.

17. Privacy

Your use of Ayyo is also governed by our Privacy Policy.

The Privacy Policy explains what information we collect, how we use it, how we share it, and the choices you have.

18. Intellectual property

Ayyo and its Services, including software, design, branding, logos, agents, interfaces, workflows, and other materials, are owned by Ayyo or its licensors and are protected by intellectual property laws.

Except for rights expressly granted in these Terms, Ayyo reserves all rights in the Services.

You may not copy, modify, distribute, sell, lease, reverse engineer, or create derivative works based on Ayyo’s Services except as allowed by law or expressly authorized by Ayyo.

19. Feedback

If you provide feedback, ideas, suggestions, or recommendations, you grant Ayyo the right to use them without restriction or compensation.

20. Service availability and changes

Ayyo may change, suspend, limit, or discontinue any part of the Services at any time.

We do not guarantee that Ayyo will always be available, uninterrupted, secure, or error-free.

Third-party integrations may fail, change, become unavailable, or stop working.

21. Termination

You may stop using Ayyo at any time.

Ayyo may suspend or terminate your access if:

  • you violate these Terms
  • you create legal, security, financial, operational, or reputational risk
  • your payment fails
  • you abuse the Services
  • we are required to do so by law
  • we discontinue the Services or a feature

After termination, certain provisions of these Terms will continue to apply, including payment obligations, disclaimers, limitations of liability, intellectual property provisions, and dispute provisions.

22. Disclaimers

The Services are provided “as is” and “as available.”

To the maximum extent permitted by law, Ayyo disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, availability, security, and reliability.

Ayyo does not guarantee outcomes, savings, health improvements, financial results, relationship outcomes, business results, productivity gains, or error-free performance.

23. Limitation of liability

To the maximum extent permitted by law, Ayyo, LLC and its owners, officers, employees, contractors, agents, partners, suppliers, and licensors will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost data, lost business, loss of goodwill, service interruption, or unauthorized access.

To the maximum extent permitted by law, Ayyo’s total liability for any claim relating to the Services will not exceed the greater of:

  • the amount you paid Ayyo in the three months before the event giving rise to the claim; or
  • $100.

Some jurisdictions do not allow certain limitations of liability, so some limitations may not apply to you.

24. Indemnification

You agree to defend, indemnify, and hold harmless Ayyo, LLC and its owners, officers, employees, contractors, agents, partners, suppliers, and licensors from and against claims, damages, losses, liabilities, costs, and expenses, including reasonable attorneys’ fees, arising from or related to:

  • your use of the Services
  • your User Content
  • your instructions to Ayyo
  • actions you approve
  • your violation of these Terms
  • your violation of law
  • your violation of third-party rights
  • your use of third-party integrations

25. Governing law

These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law principles.

Unless applicable law requires otherwise, disputes will be handled in state or federal courts located in Texas.

26. Changes to these Terms

Ayyo may update these Terms from time to time.

If we make material changes, we will take reasonable steps to notify users, such as posting updated Terms, updating the “Last Updated” date, or sending notice through the app or email.

Your continued use of Ayyo after updated Terms become effective means you accept the updated Terms.

27. Agent texting (SMS) terms

Agent Texting is an optional feature that lets Ayyo agents send you recurring automated text messages (for example, daily brief headlines, budget updates, approval requests, and replies to messages you send) from dedicated phone numbers, and lets you text them back.

You enroll only by verifying your mobile number and accepting the consent language shown in the app at Settings → Notifications → Agent texting. Texting is off by default, and consent is not a condition of purchase or of using Ayyo. The full opt-in flow is documented at ayyo.live/sms.

Message frequency varies (typically up to about 5 messages per day). Message and data rates may apply, and your carrier’s standard charges are your responsibility. Carriers are not liable for delayed or undelivered messages.

You can stop at any time by replying STOP to any message or by turning off Agent Texting in Settings. Reply HELP for help, or contact support@ayyo.live. Mobile numbers are not shared with third parties or affiliates for marketing purposes — see the Privacy Policy.

28. Outbound calls to businesses

On eligible plans, you can ask an agent to call a business for you (a restaurant, shop, clinic, and similar). Nothing rings until you tap Approve on that specific call. These are informational calls you requested — not marketing, collections, or legal argument.

The first words on the line identify the agent as an AI assistant calling on your behalf and say the call may be transcribed. We use live transcription so the agent can report back. We store the text transcript. We do not store raw audio. We do not leave voicemail. If the business hangs up, the call ends.

Caller ID shows the agent's Ayyo number. If they ask for a callback, we give them your number, not ours. You can decline any card. Staying on the line after the opener is how the other party consents to continue.
